By accessing our Site, creating a wholesale account, or placing a commercial purchase order, you (“Client,” “Buyer,” “Reseller,” or “You”) agree to be bound by these Terms and our Privacy Policy, Return & Refund Policy, and Payment Policy.

If you are entering into this agreement on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

1. Business Eligibility & Account Approval

  • B2B Qualification: Our Services are strictly intended for commercial entities, licensed businesses, resellers, and corporate buyers. We do not sell directly to individual B2C retail consumers.
  • Wholesale Account Verification: To access restricted wholesale pricing and place commercial orders, you must complete our account registration process. We reserve the right to request proof of legal business status, including a valid U.S. Federal Employer Identification Number (EIN), State Resale Certificate, or business license.
  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials. You accept full responsibility for all commercial purchases and activities conducted under your account.

2. Confidentiality & Wholesale Pricing

  • Confidentiality: All wholesale price lists, catalog tiers, promotional structures, and volume discounts made accessible through your approved account are confidential trade information.
  • Prohibited Disclosure: You agree not to disclose, publish, or distribute our wholesale pricing or catalog data to unauthorized third parties or retail consumers.
  • Price Adjustments: We reserve the right to modify wholesale prices, product minimums (MOQ), or catalog availability at any time without prior individual notice. Active quotes and confirmed purchase orders will honor the agreed-upon pricing.

3. Orders, Minimums & Acceptance

  • Minimum Order Quantities (MOQ): Wholesale orders may be subject to Minimum Order Quantities or Minimum Order Values per SKU or order, as indicated on the Site.
  • Order Acceptance: The receipt of an online order confirmation does not constitute our final acceptance of an order. We reserve the right to accept, decline, or limit order quantities for any reason, including inventory shortages, credit approval failures, or suspected unauthorized reselling.
  • Custom & OEM Orders: Custom manufacturing, private-label packaging, or special procurement orders are subject to separate master service agreements or specific written order specs and are non-cancellable once production commences.

4. Shipping, Delivery & Risk of Loss

  • Domestic Fulfillment: All orders are fulfilled and dispatched through our U.S. domestic operational network and designated logistics partners (FedEx, UPS, DHL, or commercial freight carriers).
  • FOB Terms & Risk of Loss: Unless otherwise agreed in writing, shipments are made FOB Origin (Free on Board from our domestic distribution facility). Title and risk of loss or damage pass to the Buyer upon transfer of the goods to the commercial carrier.
  • Delivery Lead Times: Delivery dates provided on the Site or in quotes are estimates only. We are not liable for transit delays caused by weather events, carrier operational disruptions, or labor strikes.

5. Intellectual Property & Brand Usage

  • Ownership: All content, product photography, graphic assets, logos, brand names, product descriptions, and code on the Site are the exclusive intellectual property of Cutechase or its licensors.
  • Limited Reseller License: Approved wholesale buyers are granted a limited, revocable, non-transferable license to use our authorized product images and official brand assets solely for the purpose of marketing, promoting, and reselling our merchandise.
  • Prohibited Actions: You may not alter, rebrand, or modify our products, trademarks, or packaging without prior written consent from our executive management team.

6. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN WRITING, OUR SITE AND ALL MERCHANDISE PROVIDED ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE U.S. LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR COMMERCIAL PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CUTECHASE, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SITE OR MERCHANDISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM A PURCHASE ORDER OR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Cutechase and its corporate affiliates from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorney fees) resulting from your breach of these Terms, your resale activities, or your violation of any third-party rights or applicable laws.

9. Governing Law & Dispute Resolution

  • Governing Law: These Terms and any commercial dispute arising out of or related to your transactions with us shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
  • Jurisdiction: Any legal action, suit, or proceeding arising under these Terms shall be instituted exclusively in the federal or state courts located in NY. You hereby consent and submit to the personal jurisdiction of such courts.

10. Modifications to Terms

We reserve the right to update or amend these Terms at any time. Changes will become effective immediately upon posting to the Site, with the revised “Last Updated” date displayed above. Your continued use of the Site or placement of wholesale orders after any updates constitutes acceptance of the modified Terms.
